Terms of Service

1. Acceptance of Terms

By accessing or using the GuardXchange platform ("Service"), operated by GuardXchange ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service following any changes constitutes your acceptance of the revised Terms. We will notify registered users of material changes via email or platform notification.

2. Services Provided

GuardXchange is a job board platform that connects state-licensed security officers with vetted security vendors seeking qualified personnel. The Service is configured for state-by-state launch markets and expansion. The Service includes job posting, applicant management, credential verification, and ZIP-code-based geographic matching.

GuardXchange is a licensed Texas security agency (License TX C31136801). We facilitate direct hiring connections but are not a staffing agency. We do not employ security officers on behalf of security vendors, nor do we guarantee employment or placement for any user.

3. User Accounts

You must create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Officer Requirements

Security officers using the Service must hold a valid private security license issued by their state's licensing authority for the positions they seek. For launch users, GuardXchange maps the applicable state license classes to the positions they seek.

Officers must provide accurate license information during registration. Our admin team manually verifies applicable private security license status before enabling application capabilities. Officers with expired, revoked, or invalid licenses will be restricted from applying to positions until valid credentials are provided.

Officers are solely responsible for maintaining their applicable private security licensure and meeting all continuing education and regulatory requirements imposed by their licensing authority.

5. Vendor Requirements

Guard companies ("Vendors") using the Service must be legally authorized to operate a security guard company in their state of operation. Vendors are responsible for verifying that all hiring decisions comply with applicable federal, state, and local employment laws.

Vendors agree that job postings must be accurate and must not contain discriminatory language or requirements that violate applicable law. GuardXchange reserves the right to remove any job posting that violates these Terms or applicable regulations.

6. Payment Terms

Guard companies pay a one-time $100 registration fee. Security officers pay $5 per month or $50 per year. All fees are quoted in U.S. dollars.

Officer subscription fees are billed on a recurring monthly or annual basis. Vendor registration is processed as a one-time payment. Payment is processed through our third-party payment provider, Stripe. By completing checkout, you authorize us to charge the payment method on file for the applicable fee.

We reserve the right to modify pricing. When pricing changes affect existing accounts, we will provide 30 days advance notice. Refunds are handled on a case-by-case basis at the sole discretion of GuardXchange.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of GuardXchange and are protected by United States and international copyright, trademark, and other intellectual property laws.

Users retain ownership of content they submit to the platform, including resumes, company profiles, and job postings. By submitting content, you grant GuardXchange a non-exclusive, royalty-free license to use, display, and distribute such content solely in connection with operating the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GuardXchange shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

GuardXchange does not guarantee the accuracy of information provided by users, including but not limited to officer credentials, company details, or job posting content. While we verify applicable private security license and company license status, we are not responsible for the conduct, qualifications, or reliability of any user.

In no event shall our total liability exceed the amount you have paid to GuardXchange in the twelve (12) months preceding the claim.

9. Termination

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to access the Service will cease immediately.

We may suspend or terminate your account at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users or the Service, or for any other reason we deem appropriate. We are not liable to you or any third party for any termination of your access to the Service.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Texas.

You agree to submit to the personal jurisdiction of such courts and waive any objection to venue in such courts.
